Lewis Morse is a business and tax attorney with more than 40 years of experience advising clients on business and commercial transactions and helping them to structure and negotiate various business, real estate, and commercial agreements.
Lewis counsels clients on a broad range of business and commercial transactions, including the purchase and sale of real estate, business assets, and other business interests. He also advises on tax planning related to the formation, organization and operation of business entities, including corporations, partnerships, joint ventures and limited liability companies.
He has experience representing developers and investors in the acquisition, development, financing, management, and disposition of real estate projects across the Washington, D.C. metropolitan area. His work spans hotel, commercial, retail, residential, mixed-use, and redevelopment projects.
Lewis advises businesses at every stage of growth. He assists clients with entity formation and governance matters, including the preparation and negotiation of shareholder agreements, partnership and joint venture agreements, and limited liability company operating agreements. He also advises tax-exempt organizations on formation and operational issues.
Guiding individuals and families through estate planning is another part of Lewis’s practice. He prepares wills, trusts, insurance trust agreements, health care directives, and durable powers of attorney, helping clients plan for the future.
