Roger Simon’s practice encompasses a wide range of transactional matters, including commercial lending transactions, commercial loan syndications, joint ventures, company and asset portfolio acquisitions, commercial real estate transactions (acquisition, development, financing, leasing and restructuring of large commercial real estate projects as well as the acquisition, restructuring and disposition of distressed debt) and general corporate matters. Mr. Simon’s clients include investment banks, money center banks, insurance companies, other financial institutions and institutional real estate investors. Mr. Simon's practice also involves the drafting and negotiation of articles of organization, limited liability company agreements, articles of incorporation, bylaws, certificates of limited partnership, limited partnership agreements, and other business entity documents. Mr. Simon's commercial lending practice involves the negotiation and drafting of loan agreements, promissory notes, mortgage and security documents, guaranty agreements and other ancillary loan documents. Mr. Simon’s real estate acquisition and development practice involves the negotiation and drafting of purchase agreements, development agreements, easements, and restrictive covenants, reviewing title reports and surveys and negotiating resolutions to title issues, reviewing surveys and other due diligence items.

Mr. Simon has worked on many high-profile real estate transactions. His most recent representations have included: a subscription line credit facility on behalf of a Washington, D.C. lender to a real estate investment fund; representation of institutional real estate investor in connection with the permanent loan secured by 1101 New York Avenue, N.W., Washington, D.C.; representation of institutional real estate investor in connection with the construction loan secured by 801 17th Street, N.W., Washington, D.C.; representation of an institutional lender in connection with the permanent loan secured by the Gallery Place Project in D.C.; representation of institutional real estate investor in connection with the sale of One Metro Center in D.C.
